b) Proxies. No proxies or substitutes are allowed at GONA meetings
c) Location. Meetings may be held anywhere in the United States or Canada or by teleconference provided that all participants are able hear each other.
d) Failure to Attend Meetings. Any Director, Executive Committee Member, Foundation Trustee failing to attend a meeting shall provide the Board of Directors with an explanation for the absence which is satisfactory to the Board. If any Director, Executive Committee Member, Foundation Trustee, officer, officeholder, or agent fails to attend three consecutive meetings of which due notice has been given, without an explanation satisfactory to the Board of Directors, such failure shall automatically lead to the removal from office by the Board of Directors of such Director, Executive Committee Member, Foundation Trustee, officer, officeholder, or agent, and further disqualify such Director, Executive Committee Member, Foundation Trustee, officer, officeholder, or agent from contesting, or being nominated or appointed to any office of GONA during the next four years. The Board of Directors shall determine, in its sole discretion, whether any excuse for failure to attend is reasonable within the meaning of this subparagraph.
